ARTICLE 1: NAME

The name of the organization herein conceived shall be the Brevard Watercolor Society, Inc. (BWS)

ARTICLE 2: PURPOSE

The purpose of the Society shall be to encourage, support, and educate members of BWS. It shall raise awareness of the public as to the importance and beauty of watercolor in the art world. DEFINITION: Watercolor painting is defined as painting in water-soluble media on paper.

ARTICLE 3: MEMBERSHIP

Anyone 18 years of age or older interested in watercolor painting may join BWS by submitting their name, address, and telephone number to the society with payment of one year’s dues.

ARTICLE 4: DUES

Dues shall be $45.00 per year, family $50.00 per year, and student (18 years of age or older with current student I.D.) $25.00 per year, payable January 1st. Dues shall be delinquent on February 1st. New members joining after August 1st shall pay $25 for the balance of the year.

ARTICLE 5: OFFICERS

1)  The officers of the Society shall be: (1) President, (1) Vice-President, (1) Second Vice- President/Membership Chair, (1) Secretary, and (1) Treasurer. The officers shall constitute the Executive Committee.

2)  The President shall preside at all meetings of the members, shall appoint committee chairpersons, and shall perform other duties as may be appropriate.

3)  The First Vice-President shall perform the duties of the President when the President is not available; shall act as program chairperson in charge of acquiring artists for the general members meeting, demo, and workshops.

4)  The Second Vice-President shall act as membership chair in charge of all aspects of membership including renewals and membership recruitment.

5)  The Secretary shall keep a record of all the Society’s business, and shall be responsible for BWS correspondence.

6)  The Treasurer shall receive all monies of the Society; shall pay approved financial obligations of the Society; shall keep accurate accounts; shall prepare a financial report; shall make a complete financial report to all members at the annual meeting. Within 10 days of the end of the Treasurer’s term, the Treasurer shall transfer all records of accounts to the new Treasurer.

ARTICLE 6: ELECTIONS

At the May meeting, a nominating committee shall be appointed by the President.

The nominating committee shall present a report at the September meeting and the floor

shall be opened for additional nominations.

Elections will be held at the September meeting with new officers assuming office at the

close of the annual meeting.

Members in good standing (dues paid) shall be eligible for office.

All officers are for a 2-year term.

ARTICLE 7: MEETINGS

Meetings will be held bi-monthly.

Annual meeting will be in January.

Two-thirds of those present will constitute a quorum.

Special meetings may be called by the President, Vice-President, or upon written request

of 12 members of the society.

ARTICLE 8: COMMITTEES AND BOARD OF DIRECTORS

Committee chairs are to be appointed by, and serve at the pleasure of, the President who reviews and confirms members of each committee recommended by the chair.

The Board of Directors is comprised of the Executive Committee officers, the chairs of the committees, and three most recent past presidents.

The committee shall include the following: Membership, Show and Exhibits, Newsletter, Webmaster, Scholarship, Sunshine, and such other committees that may be established to address recognized needs of the Society. New committees are confirmed by the Executive Committee until such time as the Board of Directors can be convened to ratify the appointments.

ARTICLE 9: PARLIAMENTARY AUTHORITY

Parliamentary authority to govern the society shall be the current edition of Robert’s Rules of Order in so far as they are applicable and not inconsistent with these by-laws or any special rules of order adopted by the Society.

ARTICLE 10: AMENDENTS

The by-laws may be amended at any regular meeting by two-thirds vote provided that notice has been given to all members at least eight days prior to that meeting.

Brevard Watercolor Society
